SHELF COMPANIES

These are pre-formed or registered companies set up with generic or non-descript names available for immediate purchase. Nowadays they are only required:

If you needed to purchase a property or business in a company name and an Australian Company Number (ACN) was needed urgently for immediate signing of a contract.

If a Contract of Sale was signed with a Nominee Company Clause and the Appointment of Director/s needed to be backdated.

*Please be aware penalty fees are incurred if backdating an Appointment or Cessation of an Officer, Shareholder or Registered and Business Office address.

*ASIC late Fees are presently:

$ Nil if lodged with 28 days of appointment or change of shareholding
$ 65 if lodged 1 month late
$270 if lodged more than 2 months late

General Information For International Enquiries

Australian "Proprietary" Companies (Private Companies)

• At least one Director/Secretary MUST reside in Australia for at least 3 months of the year

• The Registered office of the company MUST be in Australia

• Directors MUST be at least 18 years of age

• The Shareholders can be either an individual or company.

  Individual/s shareholders can reside outside Australia

  Foreign companies can own all or part of the shares in an Australian Company.

  *Please note that if the shares are owned by a Foreign Company there may be extra reporting requirements which should be discussed with your Accountant or Financial Advisor.

• A Company is taxed separately from its owners at the current corporate rate of 30% and fully franked dividends paid to shareholders are credited for the 30% tax paid. Unfranked dividends remain fully assessable.

• In general, company directors are only liable for the company's debt to the amount outstanding on their shares or to the amount of any personal guarantees given by them. The can, however be personally liable for the debts of the company if they knowingly continue to trade when the company is insolvent.

The NCS Fee for a Shelf Company is $750.00 excluding any ASIC Late Penalty Fees which may be due for backdating a change of details.
